Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and SkyThex Tech ("Company", "we", "us", or "our") governing your use of the SkyThex Tech social media management platform and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Description of Service

SkyThex Tech provides a cloud-based social media management platform that allows users to schedule, publish, and manage content across multiple social media platforms including Facebook, Instagram, TikTok, LinkedIn, X (Twitter), YouTube, and Pinterest. The Service also includes AI-powered content tools, analytics, team collaboration features, and related utilities.

2. Eligibility

  • You must be at least 16 years of age to use the Service.
  • If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
  • The Service is not available in jurisdictions where it is prohibited by law.

3. Account Registration

  • You must provide accurate, current, and complete information when creating your account.
  • You are responsible for maintaining the security of your account credentials and for all activity under your account.
  • You must notify us immediately at support@skythex.com if you suspect unauthorized access to your account.
  • You may not share your account credentials with others or create multiple accounts to circumvent plan limitations.

4. Subscription Plans and Billing

4.1 Plans

SkyThex Tech offers several subscription plans with different billing cycles:

  • 3-Day Trial Access – $5.99 (3-day access period)
  • Weekly Access – $8.99 per week
  • Weekly Access Pass – $14.99 per week
  • 15-Day Access Pass – $14.99 per 15 days
  • Monthly Access Pass – $19.99 per month
  • Monthly Membership – $19.99 per month
  • Yearly Access Pass – $99.99 per year
  • Yearly Membership – $99.99 per year

Plan features, limitations, and pricing are described on our Pricing page and may change with 30 days' advance notice.

4.2 Billing

  • Subscriptions are billed in advance at the start of each billing period (weekly, monthly, yearly, or as otherwise specified).
  • Payment is processed by Stripe, Inc. We do not store your full card number on our servers.
  • By providing payment information, you authorize us to charge your payment method for the applicable subscription fee on a recurring basis until you cancel.
  • All prices are in US Dollars (USD) unless otherwise stated. You are responsible for any applicable taxes.
  • If a payment fails, we will retry the charge and may suspend your account after repeated failures.

4.3 Free Plans and Trials

Where a free plan or trial is offered, it is subject to the feature limitations described on the Pricing page. We reserve the right to modify or discontinue free-tier offerings at any time with reasonable notice.

5. Cancellation Policy

  • You may cancel your subscription at any time from your account billing settings or by contacting support@skythex.com.
  • Cancellation takes effect at the end of your current billing period. You will retain access to the Service until that date.
  • We do not provide partial-period refunds when you cancel mid-cycle unless otherwise required by law.
  • Deleting your account also cancels your subscription.

6. Refund Policy

Due to the digital and immediately consumable nature of our Service, all payments are generally non-refundable, except as described below:

  • 7-Day Refund Window: If you experience a material technical failure on our end that prevents you from using the Service and we cannot resolve it within 72 hours of a reported issue, you may request a full refund within 7 days of the charge.
  • Duplicate Charges: If you are charged multiple times for the same billing period due to a system error, we will refund the duplicate amount promptly.
  • 3-Day Trial Plans: Trial access plans are non-refundable once the trial period has begun.
  • Yearly Plans – Exceptional Circumstances: For yearly plans, if you contact us within 14 days of initial purchase and have not materially used the Service, we may, at our sole discretion, issue a prorated refund.

To request a refund, email support@skythex.com with your account email, transaction ID, and reason for the request. We will respond within 5 business days.

Refunds, if approved, are returned to the original payment method within 5–10 business days.

7. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights.
  • Post spam, unsolicited messages, or engage in mass automated activity that violates the terms of connected social platforms.
  • Upload, transmit, or distribute malware, viruses, or any harmful code.
  • Harass, threaten, abuse, defame, or impersonate any person.
  • Publish or distribute illegal content including child sexual abuse material (CSAM), content promoting terrorism, or content that violates intellectual property rights.
  • Scrape, crawl, or data-mine the Service or connected platforms beyond what is permitted by their terms.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or third-party systems.
  • Circumvent, disable, or interfere with security features of the Service.
  • Use the Service in a way that could damage, disable, overburden, or impair our infrastructure.

Violation of this section may result in immediate account suspension or termination without refund.

8. Connected Social Accounts

  • You are solely responsible for compliance with the terms of service of any third-party social media platforms you connect to SkyThex Tech.
  • You grant us permission to post, schedule, and manage content on those platforms on your behalf only as directed by you.
  • We are not responsible for account suspensions, bans, or penalties imposed by third-party platforms resulting from your content or posting behavior.
  • OAuth access tokens are stored securely and used only for the purposes you authorize. You may revoke access at any time from your connected accounts settings.

9. Intellectual Property

9.1 Your Content

You retain full ownership of all content you create, upload, or schedule through the Service ("Your Content"). By using the Service, you grant SkyThex Tech a limited, non-exclusive, royalty-free license to store, process, and transmit Your Content solely to operate the Service on your behalf.

9.2 Our Platform

The SkyThex Tech platform, including its software, design, trademarks, and documentation, is the exclusive property of SkyThex Tech and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or sublicense any part of our platform without our written consent.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Availability and Modifications

  • We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.
  • We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time with reasonable notice.
  • We may update these Terms at any time. Material changes will be communicated via email or prominent notice on the platform at least 14 days before taking effect. Continued use after that date constitutes acceptance.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKYTHEX TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless SkyThex Tech and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

15. Termination

  • You may terminate your account at any time. Termination takes effect at the end of your billing cycle.
  • We may suspend or terminate your account immediately and without notice if you violate these Terms, engage in fraudulent activity, or if required by law.
  • Upon termination, your right to access the Service ceases and your data will be deleted in accordance with our Privacy Policy.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration in Austin, Texas under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement. Class action waivers apply to the fullest extent permitted by law.
